These Terms of Service ("Terms") are a legal agreement between you ("Customer," "Dealer," or "you") and AutoListIQ LLC, a Michigan limited liability company ("AutoListIQ," "we," "us," or "our"), governing your access to and use of the AutoListIQ platform and services (the "Service").
By creating an account, completing onboarding, or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1.1 Description. AutoListIQ is a software-as-a-service platform that automates the scraping, formatting, and posting of vehicle inventory listings to third-party marketplaces including Facebook Marketplace, Craigslist, CarGurus, eBay Motors, and others (each a "Platform"). The Service also monitors for sold vehicles and removes listings accordingly.
1.2 Technology Tool. AutoListIQ is a technology tool. We provide automation software. We do not operate as a dealer, broker, advertiser, or agent. All listings posted through the Service are posted on your behalf, using your Platform accounts, under your authority. You remain solely responsible for the accuracy, legality, and content of all listings.
1.3 Limitations. AutoListIQ does not guarantee: (a) that any Platform will accept or display your listings; (b) that listings will remain live for any specific duration; (c) that Platform APIs or site structures will remain compatible with the Service; (d) any specific number of leads, inquiries, or sales resulting from your listings. Platform terms, APIs, and site structures change without notice. When a Platform changes in a way that affects the Service, we will work to restore functionality as quickly as reasonably practicable, but we are not liable for any resulting downtime or missed listings.
2.1 Eligibility. You must be at least 18 years old and authorized to enter into contracts on behalf of the dealership you represent.
2.2 Account Registration. You must provide accurate and complete information when creating your account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
2.3 One Account per Dealership Location. Each subscription covers one dealership location (rooftop). Multiple locations require separate subscriptions.
2.4 Authorization. By connecting your Platform accounts to AutoListIQ, you represent and warrant that: (a) you have the right and authority to post inventory from the connected dealership location on each Platform; (b) you have obtained any required authorization from your franchisor, dealer group, or employer to use third-party posting tools; (c) your use of each Platform through the Service complies with that Platform's terms of service.
3.1 Subscription Plans. The Service is offered on a monthly or annual subscription basis at the rates published on our pricing page. Prices are subject to change with 30 days' advance notice to active subscribers.
3.2 Billing. Payment is processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. Monthly subscriptions renew on the same date each month. Annual subscriptions renew on the same date each year.
3.3 Failed Payment. If a payment fails, your account will enter a 7-day grace period during which the Service remains active. If payment is not resolved within 7 days, your account will be paused and posting will stop. Your data is retained for 30 days after the billing due date before deletion.
3.4 Money-Back Guarantee. If you cancel within 30 days of your initial subscription start date, you will receive a full refund of your first month's payment. This guarantee applies once per customer.
3.5 Annual Subscriptions. Annual subscriptions cancelled after 30 days will be refunded on a pro-rata basis for any complete unused months remaining in the subscription term.
3.6 No Refunds for Partial Months. Except as stated in Sections 3.4 and 3.5, payments are non-refundable. We do not provide credits or refunds for partial months of service.
4.1 Permitted Use. You may use the Service solely to post your own dealership's inventory to third-party Platforms in the ordinary course of your dealership business.
4.2 Prohibited Use. You may not: (a) post inventory you do not own or are not authorized to sell; (b) post fraudulent, deceptive, or misleading listings; (c) use the Service to spam, harass, or violate any Platform's terms; (d) attempt to access another customer's data or account; (e) reverse engineer, decompile, or create derivative works from the Service; (f) resell, sublicense, or provide access to the Service to any third party; (g) use the Service for any unlawful purpose or in violation of applicable law.
4.3 Platform Compliance. You are solely responsible for ensuring your use of each Platform through the Service complies with that Platform's terms of service, community standards, and applicable laws. AutoListIQ is not responsible for any account suspension, penalty, or ban imposed by any Platform on your Platform accounts.
5.1 Your Content. All vehicle inventory data, photos, descriptions, and listing content ("Your Content") that passes through the Service belongs to you or your dealership. You grant AutoListIQ a limited, non-exclusive license to use Your Content solely to provide the Service.
5.2 Data Accuracy. You are responsible for the accuracy of the inventory data on your dealer website that the Service scrapes. AutoListIQ reproduces that data as found; we are not responsible for inaccuracies in your source data.
5.3 Data Retention. Upon cancellation or termination of your subscription, your data is retained for 30 days to allow for account recovery, then permanently deleted from our systems.
5.4 Backups. While we maintain automated backups as part of our infrastructure, we do not guarantee backup availability or completeness. Backups are an operational tool, not a data guarantee.
6.1 AI Copy Generation. The Service uses artificial intelligence to generate listing copy for your vehicles. This copy is generated automatically based on the vehicle data scraped from your dealer website.
6.2 Copy Review. For new accounts, AI-generated copy is staged for your review and approval before posting for the first 30 days of service. This review requirement cannot be disabled during the first 30 days. After the initial 30-day period, you may extend the review requirement at your option or disable it. By approving copy for posting — or by disabling the review requirement — you assume full responsibility for the accuracy and appropriateness of posted listing content.
6.3 No Warranty on AI Content. AI-generated content may contain inaccuracies, omissions, or errors. AutoListIQ does not warrant that AI-generated copy is accurate, complete, or fit for any particular purpose. You should review all AI-generated content before it is published.
6.4 Platform Compliance of Content. You are responsible for ensuring that all listing content — including AI-generated copy — complies with each Platform's content policies.
7.1 Credential Storage. For Platforms that do not support OAuth (currently Craigslist and CarGurus), you will provide login credentials that AutoListIQ stores in encrypted form using industry-standard encryption (AES-256-GCM with per-dealer derived keys). For Platforms supporting OAuth (currently Facebook and eBay), AutoListIQ stores only OAuth access tokens.
7.2 Security. We implement reasonable administrative, technical, and physical safeguards to protect your credentials and data. However, no system is completely secure. In the event of a security incident affecting your data, we will notify you as required by applicable law.
7.3 Your Security Responsibilities. You are responsible for: (a) using strong, unique passwords for your Platform accounts; (b) enabling two-factor authentication on your Platform accounts where available; (c) notifying us promptly if you suspect unauthorized access; (d) revoking AutoListIQ's access to your Platform accounts if you cancel or suspect a security issue.
8.1 Our IP. AutoListIQ owns all rights in the Service, including software, algorithms, interfaces, and documentation. Nothing in these Terms transfers any ownership of the Service to you.
8.2 Your IP. You retain ownership of Your Content. Nothing in these Terms transfers ownership of your vehicle data, photos, or business information to AutoListIQ.
8.3 Feedback. If you provide feedback or suggestions about the Service, you grant AutoListIQ a perpetual, royalty-free license to use that feedback without restriction.
9.1 AS-IS SERVICE. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTOLISTIQ EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2 NO GUARANTEE OF RESULTS. AUTOLISTIQ DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT LISTINGS WILL BE ACCEPTED BY ANY PLATFORM, THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY PARTICULAR RESULT WILL BE ACHIEVED.
9.3 THIRD-PARTY PLATFORMS. AUTOLISTIQ HAS NO CONTROL OVER THIRD-PARTY PLATFORMS AND IS NOT RESPONSIBLE FOR THEIR AVAILABILITY, TERMS, OR ACTIONS.
10.1 EXCLUSION OF CONSEQUENTIAL DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTOLISTIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF BUSINESS, OR LOSS OF DATA, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.2 LIABILITY CAP. AUTOLISTIQ'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY YOU TO AUTOLISTIQ IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless AutoListIQ LLC and its members, officers, employees, contractors, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) listing content posted through your account; (c) your violation of these Terms; (d) your violation of any Platform's terms of service; (e) any claim that you lacked authority to post inventory or use a Platform account; (f) any claim by a third party arising from a listing posted through your account.
12.1 Informal Resolution. Before filing a formal dispute, the parties agree to attempt to resolve any dispute informally by contacting [email protected]. We will make a good-faith effort to resolve the issue within 30 days.
12.2 Mandatory Arbitration. If informal resolution fails, any dispute arising from or related to these Terms or the Service shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Livingston County, Michigan.
12.3 CLASS ACTION WAIVER. YOU AND AUTOLISTIQ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
12.5 Governing Law. These Terms are governed by the laws of the State of Michigan, without regard to its conflict of laws principles.
AutoListIQ shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including: acts of God, natural disasters, pandemic, war, terrorism, government action, internet or infrastructure outages, third-party platform outages or API changes, cyberattacks, or power failures.
14.1 Term. These Terms begin on the date you create your account and continue until your subscription is cancelled or terminated.
14.2 Termination by You. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
14.3 Termination by Us. We may suspend or terminate your account immediately if: (a) you breach these Terms and fail to cure within 5 days of notice; (b) your use poses a security risk or legal liability; (c) required by law or Platform policy.
14.4 Effect of Termination. Upon termination, your access to the Service ends. Data is retained for 30 days then deleted per Section 5.3.
15.1 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and AutoListIQ regarding the Service.
15.2 Modifications. We may modify these Terms at any time. We will provide 30 days' advance notice of material changes via email. Continued use after the effective date constitutes acceptance of the modified Terms.
15.3 Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
